Code of Conduct

Foreword

Through its efficient cooperation in the fields of forging, heat treatment and systems engineering, RUBIG is a globally leading systems supplier of refined metal construction parts and components.

This Code of Conduct shows what the RUBIG group of companies has stood for since it was founded. All companies within the RUBIG Group have committed themselves to the principles outlined below and to the guidelines developed from these principles.

This commitment to technology and innovation enables us to further develop our products and services continuously, whereby the customer’s needs and interests are always the key factors. Technologies have been developed and specialists have been trained on the basis of industrial experience, in order to contribute further to the creation of future-proof solutions.

We have an undertaking to adopt an environmentally friendly and sustainable approach and to treat our environment with care, which shapes our purchasing policy as well as our activities in General.

We are committed to a future-oriented and sustainable business policy, which is supported by the pillars of economy, ecology and social responsibility, and does not run counter to business growth and free competition. The introduction of a code of conduct for our group of companies is therefore just a logical next step.

We are well aware that the obligations of this Code of Conduct will be complied with as a matter of course. Being familiar with this exemplary role, our owners, our directors and our management team commit themselves to it. Our Code of Conduct was adopted unanimously by the members of management.

The Code of Conduct is available in its current version in both German and English on the website www.rubig.com as well as on the Intranet. New employees are referred to this Code of Conduct at the start of their employment.

Our Code of Conduct applies to all companies of the RUBIG Group and their employees. Overseas subsidiaries may take the required national particularities into consideration when implementing the Code of Conduct, if these do not invalidate its basic rules of conduct.

Our Code of Conduct should be regarded as a mandatory basis for trust, reliability, transparency and quality, and serves to orient us around our operative and strategic business.

Thus the Code of Conduct carries out two tasks. On the one hand, it should motivate our employees to act independently, and on the other hand, it maps out our corporate activity.

The Code of Conduct is based on the fundamental values of our company, which are established in the strategic guidelines.

In addition, the Code of Conduct is governed by the regulations of the Austrian Corporate Governance Code, the ILO (International Labour Organisation) Declaration on Fundamental Principles and Rights at Work, the UN Global Compact as well as the Universal Declaration of Human Rights (A/RES/217, UN Doc. 217/A-[III]) and the European Convention for the Protection of Human Rights and Fundamental Freedoms.

We have an obligation to uphold ethical principles in our business policy. In our own interests and for the sake of our employees, we want to prevent any conflicts of interests or loyalty from arising.

Our employees must disclose any potential conflicts of interests and, according to the employment contract, may not participate, either directly or indirectly, in a partnership with a company that has a business relationship with us or our customers or suppliers.

Our employees may only accept gifts with the consent of the management.

We have an obligation to maintain fair international competition, and take action against all forms of corruption.

As a company, we are bound by laws, regulations and norms based thereon in all of our business activities. This includes all international and national provisions as well as local regulations concerning, for example, occupational safety. We have made it our goal to operate within this framework, and we also expect similar conduct of our employees.

We also take corporate, cultural and social rules into consideration in our decisions and our actions.

One of our most important objectives is to meet the demands and expectations of our customers and even, where possible, to exceed them. We strive to maintain long-term business relationships and aim to offer our customers satisfactory, efficient, reliable, cost-effective and lasting solutions.

The customer is the focus of our actions in all areas of the company. We take the needs of our customers seriously, and create significant competitive advantages for them. Our customers’ success today is our success tomorrow. In order to live up to our customers’ expectations, we present ourselves in a professional, innovative and flexible manner.

Through internationalisation, we are establishing new sales markets. This enables us to expand our innovation leadership in these areas and to strengthen our position in terms of sustainability. Growth and continuity, as a result of increased profits, are also the focus of our marketing development.

We treat our customers fairly and in a service-oriented manner, while satisfying their needs and wishes as far as possible. We provide our customers with comprehensive, truthful and up-to-date information. By adapting our range of services, and through the continuous training and development of our customers as well as our employees, we constantly endeavour to keep abreast with the latest technology.

We strive to maintain long-term business relationships that are based on mutual respect, trust and reliability. In conjunction with our suppliers, we work to ensure optimal solutions for our customers.

For us, our suppliers are partners on an equal footing. Procurement procedures are transparent and are based on the principles of free competition – even in business relationships of many years’ standing.

Suppliers that do not meet the required quality criteria, or do not observe, or do not sufficiently observe, regulations on protection, safety and wages will be excluded from the award of contract.

The most important factor for the success of our company is our motivated, committed and innovative staff. As a family business, we feel a particularly close connection with our employees. RUBIG has been run as a family business since 1946.

Our employees ensure the success of our business through the continuous improvement of all business processes. Open communication, such as direct dialogue with our colleagues, employees and management, and a targeted information policy are very important to us.

A lot of our employees have had some connection with the company for decades. We aspire to maintain long-term employment relationships with a variety of interesting areas of work, and promote the personal training and further development of our employees throughout the corporate group. It is our intention to procure management staff from among our own ranks and thus ensure the transfer of knowledge within the corporate group.

It is a matter of course for us that the same standards of employee protection, occupational health care and safety technology apply to all employees, wherever they work.

We are aware that non-compliance with safety guidelines may have drastic consequences for the person affected or others. For this reason, the areas of work safety and accident prevention are of top priority for us.

We provide our employees with continuous training in work safety and accident prevention. All safety guidelines must be strictly followed.

The consumption of alcohol and other legal intoxicants and narcotics during working hours is forbidden. Violations of this will be severely sanctioned.

Our knowledge of raw materials and skills in conversion and heat treatment enable us to provide customer-specific optimal solutions. Our aim is forward integration, from initial concept to manufacture of the finished product for the end user. Our innovation process is a driver of new technologies and product developments. Top quality is something that goes without saying.
